Emami share buyback has been approved by the company’s board for up to ₹282 crore, with the maximum buyback price fixed at ₹475 per equity share. The buyback will be carried out through the open market route.

 Emami Share Buyback Details

Emami’s board approved the buyback of fully paid-up equity shares on September 17, 2026.

The company plans to purchase up to 59,36,842 shares, which represents around 1.36% of its paid-up equity share capital.

The maximum buyback price has been set at ₹475 per share, payable in cash.

The buyback is open to shareholders and beneficial owners, while promoters, members of the promoter group and persons in control and their associates are excluded.

At the maximum price of ₹475, the company could buy back up to 59.36 lakh shares within the overall ₹282 crore limit.

If shares are purchased at a price below ₹475, the actual number of shares bought back could be higher, subject to the maximum buyback amount.

 Minimum Buyback Spending Set

Emami has committed to using at least 75% of the maximum buyback amount, which comes to ₹211.50 crore, for purchasing its equity shares.

Based on the maximum buyback price, this minimum spending would correspond to the purchase of at least 44,52,632 shares.

The company will also utilise 40% of the maximum buyback size, or ₹112.80 crore, during the initial half of the buyback period after the offer opens.

What Shareholders Need to Know

The ₹282 crore buyback represents 9.28% and 9.98% of the company’s total paid-up capital and free reserves, based on its audited financial statements as of March 31, 2026.

Emami has formed a Buyback Committee to oversee the process and take the necessary actions.

The company said a public announcement containing the process, timelines and other statutory details will be issued later.

The buyback price of ₹475 is above the stock’s previous closing price of ₹369.45 on September 16. The proposed maximum price therefore represents a premium of about 28.57% to that closing price.

What Happens Next

The detailed public announcement will provide further information about the buyback process and its timelines.

Until then, shareholders will need to wait for the company’s formal announcement for the next steps.

The Emami share buyback is subject to the applicable provisions of the SEBI Buy-Back of Securities Regulations and the Companies Act.
